Terms of Service

Effective date: [set when you launch]. This is a functional draft reflecting standard marketplace/facilitator terms — have it reviewed by a California-licensed business attorney before relying on it with real users.

1. Who we are

These Terms of Service ("Terms") are a binding agreement between you ("Organizer," "you") and Cloud Way HG Inc., a California corporation ("Cloud Way HG," "we," "us"). "ZZZAPPY" is the platform name, and "EventBook" is the name of this specific application operating on the ZZZAPPY platform; any other application, sub-application, or domain name operating under ZZZAPPY is likewise part of the same service. Regardless of which name or domain you're using, ZZZAPPY, EventBook, and every ZZZAPPY sub-application are operated by, and are part of, Cloud Way HG Inc. — none of these names refer to a separate legal entity. Cloud Way HG Inc. is the sole contracting party for these Terms, the operator of the service, and the entity behind the Stripe account processing payments. By checking the agreement box at signup, you accept these Terms.

2. What the Platform is — and isn't

The Platform lets Organizers create event listings and accept online payments through Stripe. Cloud Way HG is a technology facilitator only. We are not the organizer, host, promoter, sponsor, or operator of any event listed on the Platform, and we have no role in planning, staffing, running, or being responsible for any event or its outcome.

3. Independent relationship — not employment or agency

You use the Platform as an independent business or individual, acting solely on your own behalf. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and Cloud Way HG. You control your own event pricing, scheduling, content, staffing, and execution. Cloud Way HG does not direct, supervise, or control how you run your event, does not set your hours, does not provide you tools or equipment for your event, and does not treat you as personnel in any respect. You are responsible for your own tax obligations, including any 1099 reporting Stripe provides directly to you as a connected account holder.

4. Payments, Stripe, and fees

All payments are processed by Stripe, Inc. By using the Platform's payment features, you also agree to the Stripe Connected Account Agreement and Stripe Services Agreement, which govern the actual movement of funds. You represent that your event and business are not on Stripe's Restricted Businesses list. Cloud Way HG does not custody or take possession of your funds at any point — buyer payments are split automatically by Stripe at the moment of payment: a service fee is retained by Cloud Way HG, and the remainder is transferred directly to your own Stripe-connected bank account. Our current service fee is disclosed on the Platform prior to signup and may change with notice; the fee in effect at the time of a booking applies to that booking.

5. You are the merchant of record for your event

You are solely responsible for: the legality, safety, and accuracy of your event and its description; delivering what you advertised to attendees; any licenses, permits, or insurance your event requires; compliance with applicable local, state, and federal law; and any refunds or accommodations owed to attendees for reasons related to your event (e.g., cancellation, changes, or dissatisfaction), beyond Cloud Way HG's payment-refund mechanism described in Section 6.

6. Refunds

You may issue a refund to a buyer through your dashboard at any time before a dispute is filed. A refund reverses the buyer's payment, the transfer to your account, and the Cloud Way HG service fee for that booking. You are responsible for communicating your own refund policy to your buyers; Cloud Way HG does not adjudicate refund disputes between you and your buyers.

7. Disclaimer of warranties

The Platform is provided "as is" and "as available." Cloud Way HG disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by California law.

8. Limitation of liability

To the fullest extent permitted by law, Cloud Way HG's total liability to you for any claim arising from these Terms or the Platform will not exceed the total service fees Cloud Way HG collected from your account in the three months preceding the claim. Cloud Way HG is not liable for indirect, incidental, special, consequential, or punitive damages, or for any claim arising from your event itself, including cancellation, quality, safety, or attendee conduct.

9. Indemnification

You agree to indemnify and hold Cloud Way HG harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your event, your breach of these Terms, or your violation of applicable law.

10. Termination

Cloud Way HG may suspend or terminate your account for violation of these Terms, suspected fraud, or at its reasonable discretion with notice where practicable. You may stop using the Platform at any time; amounts already collected by Stripe on your behalf are unaffected by termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in California, and both parties consent to jurisdiction there.

12. Changes to these Terms

Cloud Way HG may update these Terms from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms. Material changes will be flagged on the Platform.
